FIPP Constitution and By-Laws

CONSTITUTION

OF THE

FLORIDA INSTITUTE OF PARK PERSONNEL, INC.

 

ARTICLE I - NAME

The corporate name of this non-profit organization shall be Florida Institute of Park Personnel, Inc.  Hereafter the name of the organization shall be designated in the abbreviated form as F.I.P.P.

 

ARTICLE II -  PURPOSE

The primary purpose of this professional organization of park administrators, supervisors and other park personnel is to work together to improve leisure time opportunities for the citizenry.  The Institute shall strive to provide properly planned, developed and managed park and recreational areas.

 

ARTICLE III-MEMBERSHIP

Sec. 1 The membership of the F.I.P.P. shall consist of Professional Members, Corporate Members, Associate Members, Honorary Professional Members and Honorary Associate Members.

 

Sec. 2 Procedures and standards for membership, reclassification, termination of membership, and reinstatement shall be established by the Executive Board in accordance with the Bylaws.

 

ARTICLE IV – DUES AND VOTING PRIVILEGES

The membership dues and the voting privileges shall be established by the Executive Board in accordance with the Bylaws.

 

ARTICLE V – AFFILIATED ASSOCIATIONS

The Florida Institute of Park Personnel shall be affiliated in purpose with the National Recreation and Park Association.

 

ARTICLE VI – DISTRICTS

There shall be official districts of this organization as provided in the Bylaws.

 

ARTICLE VII – OFFICERS AND EXECUTIVE BOARD

Sec. 1 Officers. 

The officers of this organization shall be a President, President-Elect, Secretary, Treasurer as well as three (3) Directors. These officers shall be chosen from the Fellow membership for terms as stated in the Bylaws and are empowered to perform those duties as designated in the Bylaws.

 

Sec. 2 Executive Board.

The Executive Board is authorized and shall consist of the officers as designated in Section 1 above, the immediate Past President, and the chairman of each of the districts.  The Executive Board is hereby empowered to carry out all duties designated in the Bylaws.

ARTICLE VIII – COMMITTEES

The F.I.P.P. shall have standing committees as specified in the Bylaws and temporary committees as deemed necessary by the Executive Board. Temporary committees may be appointed by the President as specified in the Bylaws.

 

ARTICLE IX – MEETINGS

Sec. 1 There will be an Annual Meeting of the Institute in the Fall of the year at which time annual reports will be presented, and any business pertaining to the Institute will be transacted.

 

Sec. 2 There will be a Workshop Meeting of the Institute in the Spring of the year with emphasis placed upon educational programs for the benefit of all members of the Institute.  A business meeting will be held during this Workshop Meeting to transact any business of the Institute that may be necessary and proper.

 

Sec. 3 Locations for Annual and Workshop Meetings will be decided one year in advance by a vote of the Executive Board meeting in session during the respective Annual and Workshop Meetings each year.  Written requests by municipalities or other agencies desiring to host annual or Workshop Meetings must be submitted to the Chairman of the Executive Board at least ten days before the Committee is to meet.

 

Sec. 4 A Special Meeting of the Institute may be called by the President, a majority of the Executive Board or by ten percent of the membership by written petition to the President. The Secretary must give the membership ten (10) days written notice of the time and place of any Special Meeting of the Institute.

 

Sec. 5 A Special Meeting may only take up the items of business for which it is specifically called and the Secretary must advise the membership of the business to be discussed when mailing the notice of the Special Meetings.

 

Sec. 6 A quorum of the membership for any regular or special meeting of the Institute will be two-thirds (2/3) of those members attending.

 

Sec. 7 A quorum of the Executive Board at any meeting of that Board will be a majority of the members.

 

ARTICLE X – PUBLICATIONS

Sec. 1 The F.I.P.P. shall publish a quarterly periodical known as Park People.  Other publications may be printed at the discretion of the Executive Board.

 

Sec. 2 The Executive Board shall annually establish the objectives and policies of these publications consistent with the Bylaws.

 

ARTICLE XI – INCORPORATION AND DISSOLUTION

Sec. 1 The F.I.P.P. shall be legally incorporated under the authority of Chapter 617, Florida Statutes, 1961.

 

Sec. 2 The F.I.P.P. shall be organized exclusively for educational and scientific purposes. The Institute shall not be organized or operated for profit nor shall any part of the net earnings under any circumstances inure to the benefit of any private organization or individual.

 

Sec. 3 Upon the dissolution of the Institute, the Executive Board shall, after paying or making provision for the payment of all liabilities of the Institute, dispose of all of the assets of the Institute in a manner consistent with the purpose of the Institute, to an organization or organizations which will continue to operate exclusively with the same high purposes and objectives.

 

ARTICLE XII – AMENDMENTS

Sec. 1 Constitution

This constitution may be amended at any Annual Meeting of the Institute by a (2/3) vote of the Fellow Members present and voting, provided such amendments have been approved by the Executive Board, with the proviso that a copy of all proposed amendments shall have been filed with the Secretary at least sixty (60) days prior to the Annual Meetings and that a ballot listing the amendments shall have been mailed to each voting member at least thirty (30) days before the Annual Meeting.

 

Sec. 2 Bylaws

There shall be adopted, as required, such Bylaws as are deemed essential to the development of good procedure in the F.I.P.P. The Bylaws shall not be at variance with the Constitution, but shall be subordinate to it and shall be altered or amended to accord therewith.
